Condensed CEO comment from Pål Warolin: “Positive start to the year – strong growth in order backlog” “As always, the first quarter is clearly our low season, as much of our work cannot be carried out at cold temperatures. Given this background, we have had a positive start to the year in terms of the development of the business. We have also maintained a rapid pace in terms of acquisitions, with nine new businesses added to the Group during the quarter and a further five after the end of the quarter. Sales in the first quarter amounted to SEK 737.5 million, an increase of 70.3 percent compared with the corresponding quarter in the previous year. Organic growth was 4.3 percent and growth through acquisitions was 66.0 percent. The order backlog increased by 85.6 percent in the quarter, of which organic growth accounted for a good 18.6 percent. The adjusted EBITA margin amounted to 5.9 percent in the quarter, compared with 6.2 percent in the corresponding quarter in the previous year. In March and April, several of our suppliers announced large price increases for materials as a result of strain on the supply chain linked to the war in Ukraine, combined with high inflation. Maintaining our project margins is a priority that both the Group management and the subsidiary management teams have a strong focus on. Finally, I would like to mention the share issue that took place in March. We are extremely proud of the confidence and great interest shown in Fasadgruppen despite the current turbulence on the stock market. Interim report January-March 2022 First quarter highlights Net sales increased to SEK 737.5 million (433.1), corresponding to growth of 70.3 percent. Organic growth was 4.3 percent. EBITA increased to SEK 38.6 million (17.7) and the EBITA margin was 5.2 percent (4.1). Items affecting comparability1 impacted EBITA by SEK -4.8 million (-9.2). Adjusted EBITA (excluding items affecting comparability) increased to SEK 43.4 million (26.9). Earnings for the period amounted to SEK 22.2 million (7.3), earnings per share before and after dilution were SEK 0.48 (0.16). Operating cash flow rose to SEK 74.9 million (2.5). 22.04.2022 Fasadgruppen to carry out renovations on 15 multi-family residential properties for Balder Fasadgruppen's subsidiary Johns Bygg & Fasad has signed a contract with property company Balder for an extensive exterior renovation on properties located in Bergsjön outside Gothenburg. The project comprises a design-build contract for 15 multi-family residential properties with a total of 180 apartments. The work will be initiated in May and last for 1.5 years. The properties in Bergsjön were built in the 60s and have been well maintained, but just like many older buildings they are in large need of energy efficiency measures and a façade renovation. John’s assignment comprises the exterior of the buildings. The order value amounts to approximately SEK 34 million. In the project, the outer layer of the façade will be renovated. Among other measures, about 2,000 sq.m. of environmentally friendly and robust Steni façade panels will be mounted. In addition, all gables will be re-plastered, approximately 1,500 windows will be replaced, and all balconies will be glazed by Fasadgruppen’s subsidiary Alnova Balkongsystem. Johan Claesson, Business Area Manager Fasadgruppen West said: “We are happy to have received the trust from Balder. As a full-service provider, Fasadgruppen has a great opportunity to take on this type of renovation projects that include several parts of the properties.”

The entrance opens and the registration starts at 11:30 am. The board of directors has decided, pursuant to Chapter 7, Section 4 a of the Swedish Companies Act and the company’s articles of association, that shareholders shall have the right to exercise their voting rights by postal voting. Consequently, shareholders may choose to exercise their voting rights at the annual general meeting by attending in person, through a proxy or by postal voting. Fasadgruppen continues to grow in southern Sweden through the acquisition of the historic building specialist Mur o Puts i Kristianstad AB (”MPK”). MPK was started in 1976 and offers masonry, plastering and construction focused on historic buildings such as churches and castles. The company’s largest customer is the Church of Sweden, for which several church renovations have been carried out over the past years. MPK has 15 full-time employees, and for the financial year 2021, its revenues amounted to SEK 24.9 million. The acquisition is made through Fasadgruppen’s existing subsidiary Allt i Murning, which just like MPK has many references from various historic building projects. Mats Karlsson, Business Area Manager Fasadgruppen South, said: “MPK is another strong addition to Fasadgruppen’s operations in southern Sweden, where we have previously lacked a presence in Kristianstad. The company has a solid skillset in preserving historic buildings for the future, and has built a stable portfolio of returning customers." Ronny Jönsson CEO of MPK, said: “It feels exciting to join Fasadgruppen and we look forward to sharing best practice and finding new growth opportunities together with the other companies of the group.” Fasadgruppen is using existing cash to finance the acquisition. The seller has undertaken to re-invest part of the purchase price by acquiring existing shares in Fasadgruppen within the next three months for an amount corresponding to SEK 2.5 million. The shares bought under the re-investment are subject to a lock-up commitment for 36 months. The completion of the acquisition is not subject to any conditions, and MPK will therefore immediately become part of Fasadgruppen.

Fasadgruppen broadens its offering with steel constructions and forging through the acquisition of GAJ Stålkonstruktioner AB (”GAJ”). GAJ was founded in 1935 by Gustav Albert Johansson under the name G.A Johanssons Smidesverkstad. The company is run by the third generation of an entrepreneurial family and offers fabrication, assembly and maintenance of steel constructions such as steel frames, steel stairs, steel railings and constructions in corten steel for outdoor environments. In 2018, GAJ acquired the welding company Eskilstuna Allsmide AB and the two businesses were merged in 2021. GAJ is based in Eskilstuna and Katrineholm and carries out projects throughout the Mälardalen area for mainly construction companies, property owners and municipalities. GAJ has 35 full-time employees, and for the financial year 2021, its revenues amounted to approximately SEK 57 million. Peter Polland, Business Area Manager Fasadgruppen NorthEast, said: “The acquisition of GAJ means that we expand our offering with a specialised service that completes the existing operations of Fasadgruppen in a great way. Fasadgruppen acquires Kjær Knudsen A/S with a strong position in façades, roofs and windows in Copenhagen and on Zealand. Kjær Knudsen was founded already in 1931 and was run by the same family through three generations up until 2013 when the current main owners and employees took over. The company is focused on the renovation market and has built a strong position in Copenhagen and on Zealand. Among its customers are tenant-owner associations, construction companies and municipalities. Kjær Knudsen has 56 full-time employees, and for the financial year 2021, its revenues amounted to approximately DKK 136 million. Peter Andersen, Business Area Manager Fasadgruppen Denmark, said: “Kjær Knudsen becomes Fasadgruppen’s fifth subsidiary in Denmark and is a great addition to the current operations. The company is characterised by solid craftsman traditions with more than 90 years of history, returning customers and a strong reputation in its local market." In a joint statement, Thomas Jansteen, CEO of Kjær Knudsen, together with Production Director Thomas Vitting and Sales and Marketing Director said: “Kjær Knudsen has a long history, and it is important for us to keep the unique company spirit while also having new opportunities to develop. We look forward to taking Kjær Knudsen to the next level and cooperating with the other companies in Denmark.” The purchase price consists of cash and a so-called vendor note of DKK 17 million (corresponding to approx. SEK 23.6 million) which the sellers of Kjær Knudsen have agreed to set off against new shares in Fasadgruppen following the completion of the acquisition. Fasadgruppen will finance the cash part of the purchase price with existing cash. The vendor note will be settled through a decision by the board of directors, based on the authorisation from the annual general meeting on 18 May 2021, to direct to the sellers a set-off issue of new shares with a value equal to the vendor note of DKK 17 million. The subscription price will correspond to – and the number of shares to be issued will depend upon – the volume-weighted average price for the Fasadgruppen share on Nasdaq Stockholm during the 30 latest trading days prior to the completion of the acquisition (closing date inclusive). The shares will be subject to a transfer restriction (lock-up) for a period of two years following the completion of the acquisition. The acquisition of Kjær Knudsen is expected to be completed during April 2022.

Fasadgruppen expands to Uppsala through the acquisition of the roofing specialist A Co Tak & Montage AB (“ACO”). ACO was founded in 2016 by the company’s CEO Anton Rehnström and has since then built a strong local market position in roofing work in Uppsala and the surrounding region. The company’s offering comprises new construction roofing, roof replacement and renovations as well as insulation and maintenance. Its main customer groups are private and public property owners. ACO has 7 full-time employees, and for the financial year 2021, its revenues amounted to SEK 19.7 million. The acquisition takes place in the form of a transfer of assets where Fasadgruppen’s subsidiary Karlaplans Plåtslageri acquires the entire operations of ACO, including customer contracts, work tools, brand and employees. The intention is to continue running ACO under its established brand but with a broadened offering in Uppsala with the support of Karlaplans Plåtslageri. Andreas Illerfelt, CEO of Karlaplans Plåtslageri, said: “We are impressed by ACO which in a short period of time has established itself as a leading roofing specialist with many customers in Uppsala and the surrounding area. With the support from the team at Karlaplans Plåtslageri, we see great opportunities to strengthen ACO’s position with a broadened offering in sheet metal, plastering and windows for customers in the entire Uppsala county." Anton Rehnström, CEO of ACO, said: “It has been five intense years and with the support of Fasadgruppen and Karlaplans we believe that we can accelerate even more. On 23 February 2022, Fasadgruppen announced that it had entered into an agreement to acquire all shares in Alnova. Part of the purchase price consisted of a so-called vendor note in the amount of MSEK 10, which the sellers of Alnova agreed to set off against new shares in Fasadgruppen. In order to settle the vendor note, the board of directors of Fasadgruppen has today resolved, based on the authorisation from the annual general meeting on 18 May 2021, on a directed share issue of 62,790 shares in Fasadgruppen. The subscription price, which according to the share purchase agreement was to correspond to the volume-weighted average price for the Fasadgruppen share during the period 13 January–23 February 2022, amounted to SEK 160.00 per share. Following the directed share issue, the total number of shares and votes in Fasadgruppen amounts to 45,450,443 shares and votes. The share capital increases with SEK 3,139.50 to a total of SEK 2,272,522.15.
